Boeing Shedding Parts Of Digital Aviation Solutions, Including Jepp, ForeFlight

Investment Firm Thoma Bravo Pays $10.55B In All-Cash Deal Involving ForeFlight, Jepp and More

Boeing announced it is selling off parts of its Digital Aviation Solutions business to private equity investment firm Thoma Bravo in an all-cash transaction worth $10.55 billion as Boeing strengthens its cash position and focuses on its core business of manufacturing airplanes and key technical operations.

The assets Boeing is shedding include Jeppesen, ForeFlight, AerData, and OzRunways, and the agreement includes provisions on data sharing and future collaborations to ensure continuity of operations under Thoma Bravo’s ownership.

Boeing will retain its core digital capabilities that capture aircraft and fleet-specific data related to providing commercial and defense customers with fleet maintenance, diagnostics, and repair services as well as providing predictive and prognostic maintenance insights.

Kelly Ortberg, President and Chief Executive Officer of Boeing said, "This transaction is an important component of our strategy to focus on core businesses, supplement the balance sheet and prioritize the investment grade credit rating."

Chris Raymond, President and Chief Executive Officer of Boeing Global Services said, "This enables all parts of the digital portfolio to focus on their strengths. Our commitment to meeting our customers' needs is unwavering as we move forward with our core products and services to support their fleets."

Holden Spaht, a Managing Partner at Thoma Bravo said, "We are proud to be investing in such an important technology platform in the broader aerospace and defense industry. With a heritage dating back to the 1930s, Jeppesen has been at the forefront of technological innovation for nearly a century. We are excited to build on this track record and power its next phase of growth."

Approximately 3,900 people are employed by Boeing’s Digital Aviation Solutions, including some in the business elements staying with Boeing as well as those included in the sale. Boeing and Thoma Bravo are working together to ensure a seamless transition for employees as well as meeting the needs of customers in compliance with obligations.

The transaction is expected to close by the end of 2025, subject to regulatory approval and the usual closing conditions.
